Terms & Conditions for the Tix59 Affiliate Program
1) Definitions
- Affiliate: an individual or entity that participates in the Tix59 Affiliate Program and uses a unique tracking link to promote tickets.
- Merchant: Tix59 (the operator of the affiliate program, operating under Tikketfy-powered infrastructure).
- Link: a unique URL provided to the Affiliate that tracks clicks, purchases, and revenue back to the Affiliate.
- Gross Ticket Revenue: the total amount paid by customers for tickets before any refunds, discounts, or fees.
- Commission: the portion of Gross Ticket Revenue earned by the Affiliate according to the Commission Model.
2) Enrollment and Acceptance
- Applicants must submit a complete profile and agree to these Terms.
- Merchant reserves the right to approve, reject, or discontinue any Affiliate for any reason, including non-compliance with these Terms.
3) Link Generation and Tracking
- Each Affiliate will receive a unique Link to promote tickets.
- The Affiliate must not alter, mask, or misrepresent the Link. The Affiliate is responsible for ensuring the Link is used in compliance with applicable laws and the program’s guidelines.
- Tracking data collected includes clicks, purchases, revenue, and commissions. Data is used solely to calculate and remit commissions and to monitor fraud.
4) Promotions and Compliance
- Affiliates may promote tickets via approved channels (social media, blogs, email, websites, etc.).
- Affiliates must comply with applicable laws, including advertising disclosure requirements (e.g., FTC guidelines in the U.S.). Affiliates must clearly disclose any financial relationship with Merchant when promoting offers.
- Prohibited activities include but are not limited to: spamming, misleading claims, incentivized reviews without disclosure, cookie stuffing, illicit traffic, or any activity that could harm Merchant’s brand.
5) Attribution and Fraud Prevention
- Purchases attributed to the Affiliate are those that occur via the Affiliate’s Link.
- Merchant reserves the right to invalidate, delay, or adjust commissions in cases of suspected fraud, returns, refunds, chargebacks, or invalid traffic.
6) Commission and Payouts
- Commission Rate: as defined in the applicable Commission Model (base rate and any tiers).
- Payout Schedule: Net 30 days after the end of the month in which the sale was recorded, subject to the Affiliate meeting the minimum payout threshold.
- Minimum Payout Threshold: $50 (or as configured by Merchant).
- Payment Methods: Bank transfer, PayPal, or other supported methods.
- Deductions: Any refunds, chargebacks, or fraudulent activity may be deducted from the Affiliate’s Commission.
7) Term, Termination, and Suspension
- This Agreement remains in effect until terminated by either party with notice.
- Merchant may terminate or suspend an Affiliate immediately for violations of these Terms or for activities that could harm the Merchant’s business or reputation.
- Upon termination, all rights to promotional use of the Link cease, and unpaid commissions remain payable per the payout schedule for eligible transactions.
8) Intellectual Property
- Merchant grants Affiliate a non-exclusive, non-transferable license to use Merchant’s logos and approved promotional materials solely to promote the Affiliate Link in accordance with these Terms.
- All branding and promotional materials provided by Merchant remain Merchant’s property.
9) Privacy and Data Handling
- Affiliates must handle any personal data obtained through the program (e.g., names, emails) in accordance with applicable privacy laws (e.g., GDPR, CCPA).
- Do not collect more data than necessary. Do not share Affiliate data with third parties beyond what is required to operate the program.
10) Limitation of Liability
- Merchant provides the Affiliate program on an as-is basis. Merchant is not liable for indirect, incidental, or consequential damages arising from participation in the program.
11) Indemnification
- Affiliates agree to defend, indemnify, and hold Merchant harmless from claims arising from Affiliate’s activities, including promotions that violate law or third-party rights.
12) Changes to Terms
- Merchant may modify these Terms at any time. Affiliate will be notified of changes, and continued participation constitutes acceptance of updated Terms.
13) Governing Law and Disputes
- These Terms are governed by the laws of the jurisdiction in which Merchant operates. Any disputes will be resolved in the appropriate courts located there.
14) Miscellaneous
- Entire Agreement: These Terms constitute the entire agreement between Affiliate and Merchant regarding the Affiliate Program.
- Assignment: Affiliates may not assign their rights or obligations without Merchant’s prior written consent.
